Bill is an independent Senior Consultant under contract with Bekker Compliance Consulting Partners, LLC (BCCP). He provides specialized consulting and education/training services, in his areas of expertise described below, to BCCP’s financial services clientele.

OIL & GAS -- RECENT ASSIGNMENTS

Structure Reg D 506 private placements for royalty property groups and multi-well drilling partnerships for sale through FINRA broker-dealers. Evaluate PPM terms and conditions, draft revisions and propose amendments. Work with counsel preparing third party reports and insure their evaluation is factually correct and draft explanatory notes to insure a balanced report. Draft supporting brochures and other collateral material. Appear in industry forums as a panel representative and on major market radio show and television as an industry expert. Work with sales team and FINRA due diligence officers to sign selling agreement and broaden distribution. Understanding of oil & gas interests as they relate to 1031 tax deferred exchange transactions.

Engaged to represent joint venture partner for application of third party technology to treat crude oil emulsions in crude production and refining and crude oil waste remediation particularly as it applies to oil transportation and storage applications. Engaged to represent a joint venture partner to develop a 50 well pilot project for the application of a chemical solvent, which dissolves paraffin and asphaltene in stripper wells in the Wilcox Formation.

MANAGEMENT & INVESTMENT BANKING – REPRESENTATIVE ASSIGNMENTS

Advised an investment banking boutique specializing in PIPE (private investment in public equity). Representative transactions range from $1 million to $5 million for microcap public companies.

As principal for Lone Star Group, Inc. accepted finance and analytical engagements where commercial real property is a significant element of the transaction. Representative assignments included: $2.85 million permanent financing for Dallas, Texas Walgreens, $3 million acquisition finance for a Denton, Texas quarter horse breeding facility, $10 million warehouse line for a hard money lender, $9.5 million sale leaseback of New Jersey industrial property, immediate identification of two Walgreens for 1031 buyer, immediate identification of Indiana TIC investment for California 1031 investor and a $12 million construction loan for Crowley, Texas multifamily project.

Worked as a Senior Real Estate Investment Banker for Lincoln Capital Group. Lincoln Capital Group is a boutique real estate investment banking and advisory firm. Responsible for originating, structuring and closing commercial property loans from $3 million. Reviewed and evaluated wholesale lenders including those with stated income, stated asset lending programs as well as hard money, mezzanine loans and senior credit facilities for capital equipment.

Developed and delivered proposal to a premier residential wholesale lender to act as their exclusive advisor to execute strategic market research for a commercial warehouse line of credit lending platform.

Developed and delivered proposal to provide Fortune 500 client with an objective assessment of its options relative to the further development, capitalization, disposition or other prudent market driven strategy to realize value from its $65 million investment in their Mexican resort development. The assignment involved four overlapping phases including Due Diligence, Strategy Development, Go-To-Market and Realization of Value.

Responsible for the analysis of existing business infrastructure and business processes at a regional commercial mortgage brokerage firm during its transition to a mortgage bank. Facilitated acquisition of warehouse line and new lender relationships. Made key business processes measurable, visible and accessible to team members. Analyzed risk management issues. Simplified marketing processes. Analyzed existing compensation and incentive plan and proposed system to meet owner’s ROI target while introducing quality and net margin incentives to all staff and management positions.

Advised local developer regarding acquisition and development options for 70 ace infill parcel in a partially developed equestrian community.

Created draft plan with accompanying loan proposal for a 44 acre multi-use development including two 168 unit multifamily properties, a 40,000 sf office, two corner bank pad sites and 15,000 sf retail building in DFW suburb.

Of Counsel and Member Advisory Board for Indigenous Nations Federal Charter Association (INFCA). Responsible for structuring and representing INFCA in equity and real estate debt transactions.
